// Terms of service
The terms we work to
These terms cover the fix-up and monthly management services I provide to businesses. I've kept them short and in plain English.
The short version
- The fix-up is paid upfront. Monthly plans are paid monthly in advance.
- No long contracts: either of us can cancel with 30 days' notice.
- You stay the owner of your Google Business Profile. I'm only ever added as a manager.
- Nobody can guarantee rankings, and I don't.
- Clicked First is independent and is not part of Google.
1. Who I am
Clicked First is a trading name of Sean Weekes, a sole trader based in England. In these terms, "I", "me" and "Clicked First" mean Sean Weekes trading as Clicked First. "You" means the business that buys my services.
You can contact me at hello@clickedfirst.co.uk. Notices under these terms (including notice to cancel) can be given by email to that address, or to the email address you've given me.
2. These terms are for businesses
My services are for businesses only. By agreeing to work with me, you confirm that you're acting for your business and that you have authority to agree to these terms for it. Our agreement is made up of the client agreement you accept (by signing it or replying "ACCEPT" by email) and these terms. If the two conflict, the client agreement wins.
3. My services
- Free listing check. A one-page check of your listing with suggested fixes. It's free, there's no obligation, and it's yours to keep.
- Listing fix-up. A one-off job to correct and complete your Google Business Profile, as described on my pricing section and in your client agreement.
- Monthly management. Ongoing care of your listing on the plan you choose (Essentials, Growth or Premium), as described on my pricing section at the time you sign up and in your client agreement.
I'll carry out the services with reasonable care and skill. If you'd like something that isn't included in your plan, I'll tell you the price before doing it.
4. Getting started
Work starts once you've accepted the client agreement, paid the fix-up fee (or first monthly payment), and added me as a manager of your Business Profile. I'll aim to complete the fix-up within 7 working days of having access and the information I need from you.
5. Fees and payment
- Prices are in pounds sterling. There is no VAT to add, because I'm not VAT registered. If that changes, I'll give you at least 30 days' notice before any change to what you pay.
- Fix-up fee: payable upfront, before work starts.
- Monthly plans: billed monthly in advance, starting on your start date, by Direct Debit or card through my payment provider.
- Founding or special prices apply only where we've agreed them in writing, for example in your client agreement.
- Late payment: if a payment fails or is more than 7 days late, I'll let you know and may pause work until it's paid. I'm also entitled to interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, though I'd always rather sort it out with a quick email.
- Price changes: I'll give you at least 30 days' notice of any change to your monthly fee, so you can cancel before it applies if you prefer.
6. Cancelling
- Monthly plans roll month to month. Either of us can cancel at any time by giving 30 days' notice by email.
- Your plan, and payments for it, continue until the end of the notice period. After that, no further payments are taken.
- The fix-up fee isn't refundable once work has started, because the work is done at the start. If I haven't started, I'll refund it in full.
- Either of us can end the agreement straight away by email if the other seriously breaks these terms and doesn't put it right within 14 days of being asked. I can also end it straight away if payment is more than 14 days overdue, or if I'm asked to do something that breaks Google's rules or the law.
7. Your Google profile stays yours
- You remain the owner of your Google Business Profile at all times. You add me as a manager; I never ask for your password or for ownership.
- You can see everything I change, and you can remove my access at any time.
- When our work ends, I'll remove my own access (or you can remove me), and I won't make further changes.
- Once you've paid for them, the descriptions, posts, replies and other content I write for your listing are yours to keep and use.
8. Your responsibilities
To get good results, I need you to:
- give me accurate, up-to-date information about your business, services, prices and opening hours, and tell me promptly when something changes;
- review and approve drafts (such as descriptions, posts and review replies) within 5 working days where I ask for approval. If I don't hear back, I may hold that item until you reply;
- only send me photos and content you have the right to use, with any permission needed from people shown in them;
- make sure your treatments, offers and claims comply with the rules that apply to your sector. For aesthetics clinics, that includes the UK Code of Non-broadcast Advertising (CAP Code) enforced by the Advertising Standards Authority, and the rules on advertising medicines, which don't allow prescription-only medicines to be promoted to the public. I write with these rules in mind, but you know your treatments, and you're responsible for final approval and compliance;
- not ask me to post fake reviews, offer incentives for reviews, or include anything misleading. Fake and incentivised reviews break Google's rules and UK consumer law;
- not send me information about your clients or patients, including health information.
9. No guarantees of rankings or results
Nobody outside Google controls how listings rank. Google says local results are mainly based on relevance, distance and prominence, and it changes how search works from time to time. So I don't guarantee any ranking position, number of calls, bookings, views or other results.
Google can also reject edits, change features, or restrict or suspend listings for its own reasons. I'll always work within Google's guidelines and help you put things right, but I'm not responsible for decisions Google makes.
10. I'm independent from Google
Clicked First is an independent business and is not affiliated with, endorsed by or sponsored by Google. Google and Google Business Profile are trademarks of Google LLC.
11. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't legally be limited.
- I'm not liable for indirect or consequential losses, or for loss of profit, revenue, business, goodwill or data.
- Otherwise, my total liability to you for anything arising from our agreement is limited to the fees you paid me in the 3 months before the claim arose.
12. Confidentiality and data protection
I'll keep information about your business confidential, and only use it to provide my services. How I handle personal information is explained in my privacy notice.
13. Changes to these terms
I may update these terms from time to time. The date at the top shows when they last changed. If you're a current client, I'll email you at least 30 days before any change that affects you, and you can cancel before it applies.
14. General
- Our agreement is the whole agreement between us about the services, and replaces anything discussed before.
- Neither of us can transfer the agreement to someone else without the other's written agreement.
- If any part of these terms is found to be invalid, the rest still applies.
- Neither of us is responsible for delays caused by things outside our reasonable control, such as a Google outage.
- These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
